Board of Directors
The Company is governed by a Board of Directors, consisting of five (5) to eleven (11) members, elected by the General Meeting of the Shareholders. The term of office of the members of the Board of Directors is five (5) years. The present Board of Directors was elected by decision of the Ordinary General Meeting of the company’s shareholders on 23/06/2021. The composition of the Board of Directors is the following:
Georgios Peristeris
President, Executive Member
He was born in Athens in 1957. He graduated as a Civil Engineer from the National Technical University of Athens in 1980. His involvement with TERNA S.A. begun in 1981. Between 1982 and 1984 he was a Constructions’ Manager in important hydraulics and railway projects. In 1984 he became Chairman and CEO of TERNA S.A. In 1997 he establishes TERNA ENERGY and assumes the position of the Chairman. Since then he has developed intense entrepreneurial activity in the field of renewable energy sources (RES).
He also occupies the position of the Chairman of the Hellenic Association of Renewable Energy Electricity Producers since 2000. This Association constitutes a founding member and is represented in the BoD of the corresponding European Federations (European Renewable Energies Federation – EREF).
Georgios Mergos
Vice-Chairman of the Board of Directors, Independent non-Executive Member
He was born in Evia in 1948. He is Professor Emeritus, Department of Economics of the National and Kapodistrian University of Athens, where he has been teaching since 1986. He studied Economics at the University of Athens and holds an MSc Degree from Oxford University, UK and a PhD degree from Stanford University, USA. Before joining the University of Athens, he worked for the World Bank. He has served as Secretary General, Ministry of Finance, Governor of the Foundation of Social Security and Secretary General of the Ministry of Economy. He has conducted research with research institutions in Greece and abroad, and consulting with various international organizations and the European Commission (DG External Relations) on issues of development programme and project evaluation in numerous countries (China, India, Egypt, other South Asia countries, all countries of the former Eastern Europe and several countries of the former Soviet Union). He has served, inter alia, as a member of the BoD of GEK TERNA, PPC, NBG, Alpha Bank and as a member of the Board of Governors of Black Sea Trade and Development Bank. He is member of the BoD of Piraeus Bank Real Estate since 2014 and a BoD member of the Foundation of Economic and Industrial Research, a non-profit think tank, since February 2020.
Emmanuel Maragoudakis

He was born in Evia in 1951. He holds a degree in Mechanical Engineering from Newcastle University and a post graduate degree in production management and manufacturing technology from Strathclyde University of Scotland. He commenced his professional career as a plant manager at Vidomet S.A., a manufacturing company, where he was employed from 1980 to 1988. From 1988 to 1989 he was plant manager at Sabo S.A., a company specializing in the construction and installation of industrial machinery. He was the managing director of Viomek S.A.from 1988 to 2013. He initiated a co-operation with TERNA ENERGY in 1997, and today occupies the position of the company’s CEO and that of the General Manager of the Environment and Renewable Energy Sources Sector.

Aristotelis Spiliotis

He was born in Athens in 1972. He studied Business Organization and Management at the Athens University of Economics and Business (formerly ASOEE). He completed his postgraduate studies in Finance and Investment at Brunel University, London. From 1993 to 2000 he worked in positions in the Financial sector (Portfolio Investments, Venture Capital) as an Investment Analyst. From 2000 to 2003 he worked as Investor Relations Manager at INTRALOT, while in the same year he was hired by the GEK TERNA group, where he assumed the same duties. Since 2009 he has been working for the company, under the responsibility of the Deputy Chief Financial Officer and later until recently Chief Financial Officer in the field of Finance. Today he is Consultant on investor relations and monitors the financing of the Company’s investments in order to inform the Board accordingly.
Michael Gourzis

Nikolaos Voutychtis

Mr. Voutychtis holds an undergraduate degree (BSc, Hons) in Business Administration from the University of Bradford (UK) and a postgraduate degree (MSc) in International Banking and Financial Services from the University of Reading (UK). He is also a Certified Accountant (Fellow Chartered and Certified Accountant). Has extensive experience in finance having worked as a Chief Financial Officer at PricewaterhouseCoopers, as Head of Group Accounting Policy at the Eurobank / EFG Group and as Chief Financial Officer (CFO) at the National Bank Group in Greece and abroad, initially as Head of the Bank (Deputy Country manager) in Egypt, while in 2014 he held the position of Deputy Chief Financial Officer of the Group (Deputy Group CFO). Since the beginning of 2016, he holds the position of Chief Investment Officer of the Latsco Family Office in Greece. At the same time, he is a Non-Executive Member of the Board of Directors of the Viva Wallet Group, including Viva Bank, as well as a member of the Board of Directors of Vouliagmeni Thermal Baths SA. and EKALI SA Finally, he participates in the Advisory Committee of EOS Capital partners.
Marina Sarkisian Ochanesoglou

Ms Sarkisian Ochanesoglou holds a degree in Civil Engineering from Imperial College of Science, Technology and Medicine in London and an MSc in Environmental Engineering from the same university. She has been a Member of the Board of Directors of Cenergy Holdings since May 2020. She has over twenty years of experience in environmental management and climate change issues. She has worked in the Environmental Department at Athens International Airport S.A. for a period of 15 years, holding positions of responsibility in climate change, air quality and aircraft noise issues Previously (1994-1997) she was an independent environmental consultant collaborating with Ecosystems Analysis Ltd and Panagopoulos & Associates participating in a wide range of Environmental Impact Assessment Studies for infrastructure projects and other studies.
Andreas Tapratzis

Mr. Taprantzis was born in 1967. He is the CEO of Avis, since 11/2014. He planned and completed the radical reorganization of the company in order for its sale by Piraeus Bank. The transaction took place in 2017 at € 325 million (EV) and was one of the largest in the country. He remained in the same position with the new shareholders. Today, Avis is the largest car rental company in Greece, with 500 employees, an extensive network of stations, a fleet of 40,000 vehicles, assets over € 500 million, revenues over € 180 million and an EBITDA of € 100 million. Prior to his current position, he was an Authorized Consultant of the Hellenic Republic Asset Development Fund (HRADF), from the beginning of its operation in August 2011 until November 2014. He was responsible for the development of private public real estate, which included airports, ports, marinas, hotels and large tracts of land. During his term, the HRADF implemented contracts worth € 12.5 billion, such as the contract for Elliniko, Asteras Vouliagmenis and the Regional Airports, attracting multiple secondary investments. In 2009, he became COO and Managing Director of Retail Banking at the Postal Savings Bank (TT). In December 2010, he took over the position of Deputy CEO of T Bank (a subsidiary of TT). From 2005 to 2009, he was the Managing Director of the Hellenic Post (ELTA), while at the same time he was a member of the Board of Directors of the Postal Savings Bank and Chairman of the Audit Committee. During his tenure, ELTA was profitable with a turnover of over € 600 million and profits of € 50 million per year, as a result of radical reorganization and investments in new technologies. His work at ELTA has been recognized internationally. In August 2008, he was elected President of the Universal Postal Union (POC) of the International Postal Union (UPU), a UN organization based in Bern, from 192 Postal Companies around the world, from 2008 to 2012. From July 2019 he is a member of the Board of Directors of Attica Bank, as well as Chairman of the Risk Management Committee. Dr. Taprantzis holds a degree in Chemical Engineering (MSc) and a PhD from the National Technical University of Athens, in the field of automatic system regulation with artificial intelligence (AI) models. He has an MBA and an AMP certificate from INSEAD.
Tatiana Karapanagioti

Ms. Karapanagioti is the founder and CEO of FULLVIEW, a strategic communication company with a clientele from the banking, industrial and wider business areas. Also, she is currently the President of the Civil Non-Profit Company, Initiative for Journalism, Member of the Advisory Committee of ELIAMEP, Member of the Advisory Committee of DESMOS, member of the Board of the Association of Friends of Music and member of the Board of insidestory.gr. She has received the Gold Medal of Honor from the Republic of Austria in 2018. She has served as Minister of Culture and Tourism in the caretaker Government of Pikrammenos, May – June 2012, as well as Member of Parliament, February – April 2012. She has extensive experience as a Communication Consultant, 09 / 2011-12 / 2017. As the founder and CEO of FULLVIEW she has deep knowledge and long experience in matters of communication, relations with the media as well as perception of the operation of the State and market players. Previously, as Executive Producer of LYNX PRODUCTIONS, 09/2005-08/2011 she was involved in the production of journalistic and news programs in collaboration with private and public television channels. Also, as founder and CEO of URGH PRODUCTIONS, Founder and CEO, 09/2005-09/2015 in the production of educational and cultural documentaries in collaborations with private and public television channels, with OMMA (Athens Concert Hall), La Foundation, etc. She was a publisher in THEATIS MAGAZINE, 2005-2006, publisher in SALVO PUBLICATIONS, ROYAL COLLEGE OF ART, London, 2001-2003 and participated in individual and group photography exhibitions, Athens & London, 2000-2010
